On March 23, 2020, Dezhan Healthcare Co., Ltd. (stock abbreviation Dezhan Healthcare, stock code 000813, “Dezhan Healthcare”), Dai Yanzhen and Beijing Chang Jiang Mai Medical Technology Co., Ltd. (“Chang Jiang Mai”) entered into a certain Investment Agreement among Dezhan Healthcare Co., Ltd., Dai Yanzheng and Beijing Chang Jiang Mai Medical Technology Co., Ltd., pursuant to which, Dezhan Healthcare will, at RMB 770 million, acquire 70% of the shares in Chang Jiang Mai held by Dai Yanzhen and become the controlling shareholder of Chang Jiang Mai. The team led by Wang Ting, Tan Jun, and Cao Ying of ZhongYin Law Firm represented Dezhan Healthcare on this deal, and provided it with full-process legal services, including but not limited to developing and reviewing transaction plans, conducting legal due diligence, participating in transaction negotiations, preparation of transaction documents and other legal services.
