On November 15, 2018, the 14th “ZhongYin Lecture Hall” was held as scheduled. In this lecture, Wang Ting, a senior partner of the firm, interpreted relevant laws, regulations and policies regarding M & A of listed company. About 40 people, including the firm’s director and senior partner Yan Penghe, management committee members and senior partners Suo Caijie and Wu Guanghong, supervisory committee member and senior partner Sun Jian, senior partner Liu Xiaoyu, partners Cao Ying, Ge Ningning, Liu Sumei, Sun Yanqing, Shi Yanling and Yu Limiao, and some of the associates who were in the firm then, participated in this lecture. This lecture was hosted by partner Ge Ningning.
In the lecture, Wang Ting interpreted in detail relevant laws, regulations and policies regarding acquisition of listed company, including acquisition by offer and its application conditions, basic rules, and basic requirements for payment terms, transitional arrangement in acquisition by agreement, how to calculate an investor’s interest in a listed company, and other issues, and by combining high-profile cases, he elaborated and analyzed the laws and regulations described above. Wang Ting pointed out that it was necessary to focus on attorney’s role positioning, acquiring party’s attorney’s duties, voting proxy and other legal issues during acquisition of listed company. By combining specific cases, the participating attorneys discussed in depth with Wang Ting their confusion about M & A of listed company, and expressed that they benefited a lot. Wang Ting's professional interpretation of laws and regulations and broad sharing of practical experience have been well received by the attorneys present.
This “ZhongYin Lecture Hall” has provided theoretical guidance and practical reference for attorneys who mainly deal with M & A of listed company, and enlightened them on their future practice.
