ZhongYin Assists Toyou in Obtaining The CSRC’s Unconditional Approval over its Major Assets Restructuring

On January 16, 2019, the Listed-Company Merger, Acquisition, and Reorganization Review Committee of China Securities Regulatory Commission (the CSRC) held its first meeting for the year of 2019. At the meeting, an unconditional approval was granted to the share issuance, assets purchase in cash, and related fund raising project of Toyou Feiji Electronics Co., Ltd. (under stock code 300302, with stock short name Toyou). The team led by Gao Wei, a senior partner of ZhongYin Law Firm, represents Toyou on this project.
Toyou has been deeply engaged in the storage industry for 30 years. It is a leading domestic provider of big data storage infrastructure bearing its own brand and with independently developed intellectual property rights. It mainly engages in research, development and application of data storage, data protection and disaster recovery technologies. It adheres to independent innovation, and is committed to providing solutions and consultative services relevant to big data application to users in government, finance, special industries and many other industries.
The target company of this deal, Hongqin (Beijing) Technology Co., Ltd., owns domestic cutting-edge CPU extension, flash memory wafer modeling, extremely fast data destruction and other technologies. The acquisition will help Toyou to open up a completely independent developing and controllable path from “chip to system” and integrate Toyou’s storage software product and system development capability with Hongqin’s deep experience at device component level, realize complement between the upstream and the downstream of the industrial chain and fully leverage the efficient synergy of the market.
